The Website is owned by PDA INTERNATIONAL,\u00a0comprised\u00a0of the following entities depending on the applicable\u00a0jurisdiction:<\/span>\u00a0<\/span><\/p>

The platform\u00a0<\/span>https:\/\/app.go4clic.com<\/span><\/a>\u00a0is used by PDA INTERNATIONAL for the administration of certifications, training content, and digital products, including modules and solutions such as\u00a0TalentTrip, MPC and other tools developed or licensed within such environment. These functionalities\u00a0operate\u00a0on infrastructure provided by specialized third parties, who act as technology providers and\/or\u00a0subprocessors\u00a0in accordance with\u00a0the Privacy Policy and the DPA.<\/span>\u00a0<\/span><\/p>

Access to and use of the Website, as well as the contracting of products or services offered by PDA INTERNATIONAL,\u00a0imply\u00a0full and unconditional acceptance of these Terms and Conditions.<\/span>\u00a0<\/span><\/p>

PDA INTERNATIONAL reserves the right to\u00a0modify\u00a0or update this document at any time. Administrator: Person appointed by the Buyer or Client to whom PDA INTERNATIONAL grants administrative access to the Services.<\/span>\u00a0
User: Natural person who accesses, browses, or uses the Website.<\/span>\u00a0
Authorized User: Person authorized by an Administrator or Buyer to access the Services.<\/span>\u00a0
Buyer or Client: Natural or legal person who contracts PDA INTERNATIONAL Services, certifications, or products.<\/span>\u00a0
Candidate:\u00a0Person\u00a0whom an Authorized User requests to complete an Assessment.<\/span>\u00a0
Services: Products and tools provided by PDA INTERNATIONAL, including behavioral assessments, certifications, seminars, licenses, and consulting.<\/span>\u00a0
Credentials: Personal access data (username, password, code) assigned to authenticate a\u00a0User\u2019s\u00a0identity.<\/span>\u00a0
Credits: Units\u00a0acquired\u00a0by the Client that allow access to certain Services. They are non-refundable and non-transferable.<\/span>\u00a0

Use of the Website and contracting of the Services\u00a0imply\u00a0express acceptance of these Terms and Conditions.<\/span>\u00a0<\/span><\/p>

If the User does not agree with any clause, they must refrain from using the Website or contracting Services.<\/span>\u00a0<\/span><\/p>

These Terms apply to all countries in which PDA INTERNATIONAL provides services, without prejudice to local mandatory consumer protection and personal data protection laws in each\u00a0jurisdiction.<\/span>\u00a0<\/span><\/p>

3.4.<\/span><\/b>\u00a0<\/span><\/p>

PDA INTERNATIONAL may\u00a0establish\u00a0specific terms for certain Services.\u00a0In the event of\u00a0conflict, such specific terms shall prevail over these general terms.<\/span>\u00a0<\/span><\/p>

3.5.<\/span><\/b>\u00a0<\/span><\/p>

Where a Client also has a specific software license or services agreement (for example, a Software License Agreement \u2013 EULA or a master services agreement), the terms of such agreement shall prevail over these Terms and Conditions in all matters relating to the provision of the contracted services.<\/span>\u00a0<\/span><\/p>

In matters of personal data protection and privacy, the following order of precedence shall apply:<\/span>\u00a0<\/span><\/p>

(i) the Data Processing Agreement (DPA), where it exists and is applicable;<\/span>\u00a0
(ii) the Software License Agreement (EULA) and\/or other specific service agreements executed with the Client, with respect to personal data processing related to such services;<\/span>\u00a0
(iii) the Global Privacy and Data Protection Policy;<\/span>\u00a0
(iv) these Terms and Conditions, only regarding ancillary aspects not governed by the foregoing documents.<\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

4.1.<\/span><\/b>\u00a0<\/span>To access certain Services, the User must register by providing truthful and up-to-date information.<\/span>\u00a0<\/span><\/p>

4.2.<\/span><\/b>\u00a0<\/span>The User\u00a0is responsible for\u00a0maintaining\u00a0the confidentiality of their Credentials and for all activity performed through their account.<\/span>\u00a0<\/span><\/p>

4.3.<\/span><\/b>\u00a0<\/span>PDA INTERNATIONAL may suspend or\u00a0delete\u00a0accounts that breach these Terms or use the Services fraudulently, unlawfully, or in bad faith.<\/span>\u00a0<\/span><\/p>

4.4. Use by minors:<\/span><\/b>\u00a0<\/span>Services provided by PDA INTERNATIONAL are intended exclusively for adults with legal capacity to contract, acting as clients, authorized users, or representatives of an organization. However, the Software may be used to evaluate or analyze minors where the Client (including educational institutions, non-profit organizations, or other eligible entities) has the required authorizations, consents, and\/or legal bases granted by their legal representatives.<\/span>\u00a0<\/span><\/p>

In such cases, the Client shall be solely responsible for:<\/span>\u00a0<\/span><\/p>

(i) obtaining and\u00a0retaining\u00a0the authorizations required under applicable law;<\/span>\u00a0
(ii) ensuring the lawfulness of the processing of the minor\u2019s personal data; and<\/span>\u00a0
(iii) adequately informing the holders of parental responsibility.<\/span>\u00a0<\/span><\/p>

Use\u00a0of the Software with respect to minors shall also be governed by the Privacy Policy and the Data Processing Agreement (DPA), where applicable.<\/span>\u00a0<\/span><\/p>

4.5.<\/span><\/b>\u00a0<\/span>The User may at any time request modification or deletion of their data\u00a0in accordance with\u00a0applicable data protection laws.<\/span>\u00a0<\/span><\/p>

4.6. Use of external platforms:<\/span><\/b>\u00a0<\/span><\/p>

Certain content, courses, certifications, or functionalities offered by PDA INTERNATIONAL may be managed or delivered through external platforms, including Go4Clic (app.go4clic.com). Such platforms\u00a0operate\u00a0under their own Terms and Conditions and their own privacy policies, independent from those of PDA INTERNATIONAL.<\/span>\u00a0<\/span><\/p>

PDA INTERNATIONAL does not control the technical mechanisms of these platforms and is not responsible for the data processing carried out by such platforms as part of their own operation.<\/span>\u00a0<\/span><\/p>

Access to and use of these platforms shall be governed exclusively by their respective terms.<\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

5.1.<\/span><\/b>\u00a0<\/span>PDA INTERNATIONAL Services are intended exclusively for persons of legal age and with legal capacity to contract.<\/span>\u00a0<\/span><\/p>

5.2.<\/span><\/b>\u00a0<\/span>Contracting shall be\u00a0deemed\u00a0formalized when the User completes the purchase process and receives the corresponding confirmation, whether sent by PDA INTERNATIONAL or by auxiliary platforms used to deliver the Services.<\/span>\u00a0<\/span><\/p>

5.3.<\/span><\/b>\u00a0<\/span>PDA INTERNATIONAL may update,\u00a0modify, or temporarily interrupt the Services for technical, operational, or maintenance reasons.\u00a0Where\u00a0reasonably possible, prior notice will be provided, without implying an obligation of continuous availability.<\/span>\u00a0<\/span><\/p>

5.4.<\/span><\/b>\u00a0<\/span>Certain Services may require training, prior certification, or compliance with\u00a0particular requirements\u00a0for proper use.<\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    Payments are processed through secure external payment providers and gateways. PDA INTERNATIONAL does not store sensitive financial information of Users and only receives payment confirmations or reference codes generated by such processors.<\/span>\u00a0<\/span><\/p>

    The User acknowledges that payment management, authorization, and processing depend on the selected payment providers and not on PDA INTERNATIONAL.<\/span>\u00a0<\/span><\/p>

    7.1.<\/span><\/b>\u00a0<\/span>Service prices shall be those published on the Website or communicated to the Client at the time of contracting, according to the currency and commercial conditions applicable to the Client\u2019s\u00a0jurisdiction\u00a0or the type of contracted service.<\/span>\u00a0<\/span><\/p>

    7.2.<\/span><\/b>\u00a0<\/span>PDA INTERNATIONAL reserves the right to change prices and fees. Such changes shall apply only to future purchases or renewals, providing prior notice to the Client where applicable.<\/span>\u00a0<\/span><\/p>

    7.3.<\/span><\/b>\u00a0<\/span>Invoicing shall be carried out\u00a0in accordance with\u00a0the tax regulations applicable to the PDA INTERNATIONAL entity providing the service and\/or the Client\u2019s\u00a0jurisdiction, as applicable, and invoices may be issued by different entities within the group.<\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

    The Client undertakes to:<\/span>\u00a0<\/span><\/p>

    • Use the Services lawfully and according to their intended purpose.<\/span>
      \u2022 Not share,disclose, or allow unauthorized use of\u00a0access\u00a0Credentials.<\/span>\u00a0
      \u2022 Not alter, copy, reproduce, or distribute PDA INTERNATIONAL materials, content, or tools without express authorization.<\/span>\u00a0
      \u2022 Immediately notify any unauthorized use, loss of Credentials, or security incident.<\/span>\u00a0
      \u2022 Ensure adequate training for personnel using PDA INTERNATIONAL tools.<\/span>\u00a0
      \u2022\u00a0Comply with\u00a0applicable technical security policies, measures, and requirements for use of the Services.<\/span>\u00a0<\/span><\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

      9.1.<\/span><\/b>\u00a0<\/span>All Website content, including texts, software, assessments, reports, algorithms, designs, logos, images, educational materials, and any other protected element, is the exclusive property of PDA INTERNATIONAL or its licensors and is protected by applicable intellectual property laws and international treaties.<\/span>\u00a0<\/span><\/p>

      9.2.<\/span><\/b>\u00a0<\/span>Unauthorized use, copying, reproduction, distribution, publication, or modification, in whole or in part, is prohibited and may give rise to legal action. Reverse engineering,\u00a0decompilation, or any attempt to access source code is expressly prohibited.<\/span>\u00a0<\/span><\/p>

      9.3.<\/span><\/b>\u00a0<\/span>The license granted to Clients is non-exclusive, non-transferable, revocable, and limited to the term of the contract or subscription. Such license does not imply assignment of intellectual property rights or exploitation rights over the Software or content.<\/span>\u00a0<\/span><\/p>

      9.4.<\/span><\/b>\u00a0<\/span>Some Services may incorporate components, platforms, or content provided by third parties for which PDA INTERNATIONAL holds the necessary licenses for use within the Services. In such cases, the Client undertakes to\u00a0comply with\u00a0the applicable terms of use for such components.<\/span>\u00a0<\/span><\/p>

      10.1.<\/span><\/b>\u00a0<\/span>PDA INTERNATIONAL\u00a0complies with\u00a0applicable data protection regulations (Law 25,326 \u2013 Argentina, GDPR \u2013 European Union, CCPA \u2013 United States, LGPD \u2013 Brazil, among others), acting as Controller or Processor depending on the nature of the contracted Service.<\/span>\u00a0<\/span><\/p>

      10.2.<\/span><\/b>\u00a0<\/span>Personal data shall be processed lawfully, fairly, and transparently for legitimate purposes related to providing and improving the Services.<\/span>\u00a0<\/span><\/p>

      10.3.<\/span><\/b>\u00a0<\/span>Users may exercise their rights of access, rectification, erasure, restriction, portability, and objection by contacting: gdpr@pdainternational.net. Where applicable, European Union Users may contact the designated representative for GDPR purposes.<\/span>\u00a0<\/span><\/p>

      10.4.<\/span><\/b>\u00a0<\/span>PDA INTERNATIONAL may anonymize or aggregate data for statistical, research, or service improvement purposes, ensuring that anonymized information does not allow identification of individuals.<\/span>\u00a0<\/span><\/p>

      10.5.<\/span><\/b>\u00a0<\/span>Personal data shall be\u00a0retained\u00a0only for the time necessary to fulfill contractual purposes or applicable legal obligations.<\/span>\u00a0<\/span><\/p>

      10.6.<\/span><\/b>\u00a0<\/span>PDA INTERNATIONAL adopts technical and organizational security measures\u00a0in accordance with\u00a0international standards, including ISO\/IEC 27001 and NIST guidelines, without prejudice to\u00a0additional\u00a0measures implemented by authorized technology providers.<\/span>\u00a0<\/span><\/p>

      10.7. Research and statistical analysis<\/span><\/b>\u00a0<\/span><\/p>

      PDA INTERNATIONAL may use duly anonymized or aggregated data that does not allow direct or indirect identification of individuals or companies for scientific research, statistical analysis, market studies,\u00a0methodology\u00a0development, or technical disclosure.<\/span>\u00a0<\/span><\/p>

      PDA INTERNATIONAL reserves the right to apply administrative fees or require enrollment in a new edition where repeated absences or rescheduling affect the normal\u00a0course\u00a0delivery.<\/span>\u00a0<\/span><\/p>
